1. Acceptance of Terms

By accessing and using ContractFlow ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

Permission is granted to temporarily use the Service for personal or commercial purposes. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose without proper subscription
• Attempt to decompile or reverse engineer any software contained on the Service
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms. You are responsible for:

• Safeguarding your password and account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

4. Subscription and Payments

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis. Billing cycles are set on a monthly or annual basis.

At the end of each billing cycle, your subscription will automatically renew unless you cancel it or we cancel it. You may cancel your subscription renewal through your account settings.

5. Credits System

Our Service operates on a credit-based system where credits are consumed when you submit forms. Credits do not expire as long as your subscription is active. Upon cancellation or expiration of your subscription, unused credits will be forfeited.

6. Acceptable Use

You agree not to use the Service to:

• Upload or transmit any unlawful, harmful, or objectionable content
• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit any viruses, malware, or other malicious code
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers

7. Intellectual Property

The Service and its original content, features, and functionality are owned by ContractFlow and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You retain all rights to the documents and content you create, upload, or submit through the Service. By using the Service, you grant us a license to store, process, and display your content solely for the purpose of providing the Service to you.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

9. Limitation of Liability

In no event shall ContractFlow, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

10. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the new Terms.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.
